For nearly 50 years, Catholic Medical Center (CMC) has proudly served our communities with a commitment to delivering the highest quality and most advanced healthcare. Now, we are looking smartly to the future to best position ourselves in today’s ever-changing healthcare marketplace.
CMC has entered into an Asset Purchase Agreement with a subsidiary of HCA Healthcare, and the appropriate documents have been filed with the NH Attorney General’s Office to begin the regulatory review process. This transaction would enable CMC to continue delivering the highest quality, most advanced Catholic healthcare to the Manchester community while ensuring its mission of health, healing and hope flourishes for decades to come.
Since the signing of the Letter of Intent last fall, leadership teams from CMC and HCA Healthcare, in partnership with the Diocese of Manchester, have engaged in due diligence to determine if the organizations could come to a final agreement in which CMC would join HCA Healthcare.
Together CMC and HCA Healthcare intend to:
- Maintain CMC’s Catholic identity and provide care in accordance with the Ethical and Religious Directives for Catholic Health Care Services (ERDs),
- Create a non-profit foundation to carry on CMC’s commitment to serve the needs of our community for generations to come,
- Preserve and enhance access to high-quality patient care and meet the growing demand for healthcare services in New Hampshire,
- Continue a legacy of providing charity care to improve health equity in New Hampshire,
- Provide CMC access to HCA Healthcare capabilities, scale and resources focused on delivering high-quality patient care,
- Support CMC’s existing workforce with job training, education opportunities and industry leading technology,
- Enhance the immediate and long-term financial viability of CMC.

As of today, nothing changes in the day-to-day operations of CMC or how CMC patients will receive their care. Yes. As part of HCA Healthcare, CMC will retain its Catholic identity. We will continue to operate in accordance with Catholic moral teachings and with our mission to carry out Christ’s healing ministry. We will remain a member of the Catholic Health Association and continue to adhere to the Ethical and Religious Directives for Catholic Health Care Services (ERD’s).

Our proposed partnership would maintain and enhance the richness of Catholic spiritual life within CMC and the community it serves, including the creation of a Catholic foundation, which will be funded with the proceeds from the transaction.
During this process, nothing will change in the day-to-day operations of CMC or how patients receive their care.
The purchase price is $110 million for substantially all of the assets of CMC. A number of assets are excluded from the sale and will be retained by CMC to take care of its obligations and the remaining proceeds will benefit the Foundation. In addition, HCA has committed to invest a projected $200 million in capital improvements to the hospital over the next 10 years.
During this transition, CMC maintains its commitment to delivering excellent patient care as it has for the past 50 years. As the regulatory process proceeds over the coming months, HCA Healthcare will work with CMC leaders to discuss and finalize its plan to integrate CMC into HCA Healthcare upon a successful closing. Throughout the regulatory review phase and integration planning process, CMC will continue its normal operations.
Nothing changes today, including the insurance plans CMC accepts. Patients will continue to have access to their current in-network providers without any disruption. As this process continues, we will continue to keep our staff, our patients and our communities apprised of developments.

The New Hampshire Attorney General’s Office will engage in the regulatory review process. Our hope is this process will be finalized by the end of the calendar year, and we will close the deal shortly thereafter.
